Terms of Service

1. Agreement

By creating an account or using Walmart Repricer (the “Service”), you agree to these Terms. If you don't agree, don't use the Service. The Service is provided by <COMPANY_NAME> (“we”, “us”).

We are not affiliated with, endorsed by, or sponsored by Walmart Inc.

2. What the Service does

The Service connects to your Walmart Marketplace seller account using credentials you provide, polls the Buy Box for SKUs you enable, computes price decisions against rules you configure, and (when you opt in to live mode) pushes price updates back to Walmart on your behalf.

You retain full control: per-SKU min/max bounds, per-SKU strategy, an account-wide live/dry-run toggle, and the ability to pause everything at once.

3. Your account

• You must provide accurate registration information.
• You're responsible for all activity under your account.
• Keep your password secure. Notify us if you suspect compromise.
• You must be at least 18 years old.
• One person or legal entity per account.

4. Your Walmart credentials

You grant us permission to use the Walmart API credentials you provide solely to operate the Service for you. We store them encrypted at rest and never share them with third parties. Revoke access at any time by deleting the credentials in Settings or rotating them in the Walmart Developer Portal.

You represent that you have the legal right to use those credentials and that your use of the Service complies with the Walmart Marketplace Seller Agreement.

5. Plans, billing, and trials

• Plans, prices, and features are listed on our Pricing page.
• Trials last 7 days. We collect a payment method at signup and charge it when the trial ends unless you cancel.
• Subscriptions auto-renew at the end of each period. Cancel anytime in Billing settings.
• Refunds are evaluated case by case. Email us within 14 days of a charge to request one.
• We may change plan pricing with 30 days' notice for the next billing cycle. Existing periods are honored at the original price.
• Failed payments trigger a 3-day grace period before access is paused.

6. Acceptable use

You agree NOT to:

• Use the Service to violate Walmart's Seller Agreement or any law.
• Reverse-engineer, scrape, or attempt to extract credentials of other users.
• Reuse the Service to operate an account you don't own.
• Send spam, abuse, or interfere with our infrastructure.
• Resell or sublicense the Service without written permission.

We may suspend or terminate accounts that violate these rules, with or without notice depending on severity.

7. Pricing decisions and risk

The Service computes price decisions based on the rules you configure. You are solely responsible for reviewing and confirming those rules before enabling live repricing. We provide a dry-run mode by default so you can validate decisions against your own catalog before any prices are pushed.

We do not guarantee Buy Box wins, sales volume, or profit. Walmart controls the Buy Box algorithm, fees, and seller eligibility, all of which can change without notice.

8. Service availability

We aim for high availability but do not promise 100% uptime. Walmart's API, Stripe, our hosting, or third-party dependencies may experience outages. We will communicate significant incidents on a status page or via email.

9. Intellectual property

We own the Service's software, branding, and content (excluding open-source components, which retain their respective licenses). You own your catalog data and your Walmart credentials.

You grant us a non-exclusive license to process your data only as necessary to provide the Service.

10. Termination

You can delete your account anytime from Settings → Account. We can suspend or terminate your access if you breach these Terms or fail to pay. On termination your data is deleted per our Privacy Policy.

11. Disclaimer of warranties

The Service is provided “as is” without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) US $100. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost Buy Box wins, or loss of data.

13. Indemnification

You agree to defend and indemnify us against claims arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights, including Walmart's Seller Agreement.

14. Governing law and disputes

These Terms are governed by the laws of <JURISDICTION>, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in <JURISDICTION>, and you consent to that venue.

15. Changes

We may update these Terms. Material changes will be communicated via email and with at least 30 days' notice. Your continued use after the effective date of updated Terms constitutes acceptance.
